Represented the licensor, a national telecommunications company, in the five-year, $105 million renewal of its unlimited license agreement with a cloud application and platform company.

Represented a national telecommunications company in the five-year, $75.6 million extension and expansion of its license agreement with a smart home technology company.

Assisted the in-house team at the world’s second-largest stable coin company by reviewing, negotiating and drafting commercial agreements including master service agreements (MSAs), nondisclosure agreements (NDAs), statements of work (SOWs), software as a service (SaaS) and licensing agreements.

Launched an on-demand content distribution platform for a national yoga studio chain. The client had a short window in which to complete the production, licensing, and distribution agreements. Worked closely with the client to launch the services efficiently, and to expand the on-demand presence during the COVID-19 pandemic.

Negotiated billions of dollars in transactional agreements for a Fortune 100 telecommunications, broadband and media company, including multiple system acquisitions and divestitures to enhance geographical efficiencies. The disposition of rural  systems ultimately positioned the company to complete a merger with another major player in the industry.

Represented a telecommunications company in securing multibillion-dollar billing and corporate services for a customer base in excess of 25 million.

Provided assistance to client for an equity investment in a French company that delivers cloud services aimed at online gaming. Reviewed transaction documents and conducted legal due diligence.

Assisted client in the formation of a joint venture in the field of advertising blockchain technology, including the review of key terms for the contribution of the intellectual property assets from its members into the joint venture, licenses back to contributors, IP rights retained by members and third-party rights.

Assisted client in the assets acquisition of a software company for an accessibility tool in the field of video streaming and linear TV. Conducted due diligence review, negotiated and documented the transaction.

Served as outside counsel responsible for $35 million+ long-term strategic fulfillment/transportation contract for international retailer.

Multi-year secondment to a Fortune 250 company in the financial data services industry. Worked several days per week onsite supporting several of the client’s global operations and technology business groups. Drafted and negotiated enterprise, worldwide software license agreements, SaaS agreements and consulting agreements to enable growth of client’s technology operations and global customer support, and new products and services offerings. Originally a three-month secondment, the client extended the assignment to a multi-year engagement.

Represented worldwide manufacturers, health care providers and services providers in multi-location, enterprise-wide software audits opposite major multinational technology corporations.

Negotiated software license and SaaS agreements for multiple banking clients to obtain rights to license, access and use state-of-the-art financial services technology for each bank’s internal businesses and their customers, including electronic billing and payment, processing services, online banking, mobile banking, ACH, card application solutions, enterprise payments, and financial performance and risk management.

Negotiated software license and subscription agreements for a financial services company which provided the client access to and use of specialized trust administration and wealth management applications, the integration of financial information from external accounting platforms, and the creation of customized client portals for end user online access to designated data and reports.
